No Actions, Suits or Proceedings. (a) There is no pending action, litigation or proceeding, nor, to the knowledge of JHVST, has any litigation been overtly threatened in writing or, if probable of assertion, orally, against JHVST, or any Fund, before any Governmental Authority which questions the validity or legality of this Agreement or of the actions contemplated hereby or which seeks to prevent the consummation of the transactions contemplated hereby, including the Reorganization.
