There are no contracts or documents of a character that would be required to be described in the Preference Offering Memorandum, if it were a prospectus filed as part of a registration statement on Form S-3 under the 1933 Act, that are not described as would be so required. All such contracts to which the Company is party have been duly authorized, executed and delivered by the Company and constitute valid and binding agreements of the Company.
