No Additional Severance. Except as set forth in Section 3.12(d) of the Sheridan Disclosure Letter, neither Sheridan nor any of its Subsidiaries is a party to any agreement, nor has Sheridan or any of its Subsidiaries established any policy or practice requiring it to make a payment or provide any other form of compensation or benefit to any person performing services for Sheridan upon termination of such services that would not be payable or provided in the absence of the consummation of the transactions contemplated by this Agreement.
