No Adverse Effects. The contribution and assignment of Financed Student Loans to the Eligible Lender Trustee by such Seller pursuant to this Agreement or the applicable Transfer Agreement will not, by reason thereof, have any adverse effect upon the validity, legality or enforceability of the Financed Student Loans.
