Common use of No Adverse Litigation Clause in Contracts

No Adverse Litigation. There shall not be pending or threatened any action or proceeding by or before any court or other governmental body which shall seek to restrain, prohibit, invalidate or collect damages arising out of the Agreement or any of the transactions contemplated hereby, and which in the judgment of the Shareholders makes it inadvisable to proceed with the Agreement or any other transaction contemplated hereby.

There shall not be pending or threatened in writing any action or proceeding by or before any court or other governmental body which shall seek to restrain, prohibit, prohibit or invalidate or collect damages arising out of the Agreement Agreement, the Acquisition or any of the transactions other transaction contemplated hereby, and which in the judgment of the Shareholders makes it inadvisable to proceed with the Agreement or any Agreement, the Acquisition and other transaction transactions contemplated hereby.
