The Investors have had the opportunity to review this Agreement and the transactions contemplated by this Agreement with Investors’ own legal counsel and investment and tax advisors. Except for any statements or representations of the Sponsor explicitly made in this Agreement, Investors are relying solely on such counsel and advisors and not on any statements or representations, express or implied, of the Sponsor or any of its representatives or agents for any reason whatsoever, including without limitation for legal, tax or investment advice, with respect to this investment, the Sponsor, TGVC, the transactions contemplated by this Agreement.
