Common use of No Advisory Relationship Clause in Contracts

No Advisory Relationship. SHAREHOLDER acknowledges and agrees that the purchase and sale of the Common Shares pursuant to this SUBSCRIPTION AGREEMENT is an arms-length transaction between the SHAREHOLDER and the COMAPNY. In connection with the purchase and sale of the Common Shares, the COMPANY is not acting as the SHAREHOLDER’S agent or fiduciary. The COMPANY assumes no advisory or fiduciary responsibility in the SHAREHOLDER’S favor in connection with the Common Shares or the corresponding real estate investments. The COMPANY has not provided the SHAREHOLDER with any legal, accounting, regulatory or tax advice with respect to the Common Shares, and the SHAREHOLDER has consulted his/her/its own respective legal, accounting, regulatory and tax advisors to the extent the SHAREHOLDER has deemed appropriate.

The COMPANY assumes no advisory or fiduciary responsibility in the SHAREHOLDER’S favor in connection with the Common Preferred Shares or the corresponding real estate investments.
