The Consenting Party shall not amend, modify or consent to the amendment or modification of the Assigned Agreement without the prior written consent of the Assignee, unless the Company has certified to the Consenting Party in writing that such amendment, modification or consent to amendment or modification is permitted under the terms of the Financing Documents.
