Common use of No Bankruptcy or Court Order Clause in Contracts

No Bankruptcy or Court Order. As a condition precedent to the Initial Closing and the Subsequent Closing, as applicable, no Act of Bankruptcy on the part of the Partnership shall have occurred and remain outstanding as of the Subsequent Closing Date, and no Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law or Court Order (whether temporary, preliminary or permanent) which is then in effect and has the effect of making the consummation of the transaction contemplated by this Agreement illegal or otherwise restricting, preventing or prohibiting consummation of the transactions contemplated by this Agreement.
