Common use of No Benefit Plan Transfers Clause in Contracts

No Benefit Plan Transfers. Notwithstanding anything herein to the contrary, other than as a result of (i) direct rollovers from the Business 401(k) Plan to the Purchaser 401(k) plan or (ii) transfers from the Flexible Spending Account Plan to the Purchaser’s or one of its affiliates’ flexible spending account plans (which plans shall be administered by Seller or a member of the Seller Group in accordance with the Transition Services Agreement), there shall be no transfer of assets or liabilities from any Business Benefit Plan to any Purchaser Benefit Plan.
