NO BREACH OF CONTRACT. The Executive hereby represents to the Company that his execution and delivery of this Agreement and the performance of his duties hereunder will not constitute a breach of, or otherwise contravene, the terms of any employment or other agreement or policy to which the Executive is a party or otherwise bound. The Company hereby represents to the Executive that it is authorized to enter into this Agreement and that the execution and delivery of this Agreement and the employment of the Executive hereunder will not constitute a breach of, or otherwise contravene, the terms of any law, agreement or policy by which it is bound.

NO BREACH OF CONTRACT. The Executive hereby represents to the Company Corporation that his the execution and delivery of this Agreement by the Executive and the Corporation and the performance by the Executive of his the Executive’s duties hereunder will shall not constitute a breach of, or otherwise contravene, the terms of any employment or other agreement or policy to which the Executive is a party or otherwise bound. The Company hereby represents to the Executive that it is authorized to enter into this Agreement and that the execution and delivery of this Agreement and the employment of the Executive hereunder will not constitute a breach of, or otherwise contravene, the terms of any law, agreement or policy by which it is bound.

NO BREACH OF CONTRACT. The Executive hereby represents to the Company that his the execution and delivery of this Agreement by the Executive after execution and delivery by the Company, and the performance by the Executive of his the Executive’s duties hereunder will hereunder, do not and shall not constitute a breach of, conflict with, or otherwise contravenecontravene or cause a default under, the terms of any employment or other agreement or policy to which the Executive is a party or otherwise bound. The Company hereby represents to the Executive that it is authorized to enter into this Agreement and that the execution and delivery of this Agreement and the employment of the Executive hereunder will not constitute a breach of, or otherwise contravene, the terms of any law, agreement or policy by which it is bound.

The Executive hereby represents to the Company that his execution and delivery of this Agreement and the performance of his duties hereunder will not constitute a breach of, or otherwise contravene, the terms of any employment or other agreement or policy to which the Executive is a party or otherwise bound. The Company hereby represents to the Executive that it is authorized to enter into this Agreement and warrants that the execution and delivery of this Agreement by Executive and the employment performance of the Executive Executive’s obligations hereunder will not constitute conflict with or breach any agreement, order or decree to which Executive is a breach of, party or otherwise contravene, the terms of any law, agreement or policy by which it Executive is bound.

The Executive hereby represents to and warrants that the Company that his execution and delivery of this Agreement by the Executive and the performance of his duties the Executive's obligations hereunder does not and will not constitute a conflict with or breach ofany agreement, order or otherwise contravene, the terms of any employment or other agreement or policy decree to which the Executive is a party or otherwise bound. The Company hereby represents to by which the Executive that it is authorized to enter into this Agreement and that the execution and delivery of this Agreement and the employment of the Executive hereunder will not constitute a breach of, or otherwise contravene, the terms of any law, agreement or policy by which it is bound.

The Executive hereby represents to the Company that his Bank that: (i) the execution and delivery of this Agreement by the Executive and the performance by the Executive of his the Executive’s duties hereunder will shall not constitute a breach of, or otherwise contravene, the terms of any employment or other agreement or policy to which the Executive is a party or by which she is otherwise bound. The Company hereby represents to ; and (ii) that the Executive that it is authorized to enter into not bound by any confidentiality, trade secret or similar agreement (other than this Agreement and that the execution and delivery of this Agreement and the employment of the Executive hereunder will not constitute a breach of, Agreement) with any other person or otherwise contravene, the terms of any law, agreement or policy by which it is boundentity.

The Executive hereby represents to the Company that his that: (i) the execution and delivery of this Agreement by the Executive and the Company and the performance by the Executive of his the Executive’s duties hereunder will do not and shall not constitute a breach of, conflict with, or otherwise contravenecontravene or cause a default under, the terms of any employment or other agreement or policy to which the Executive is a party or otherwise bound. The Company hereby represents bound or any judgment, order or decree to which the Executive that it is authorized to enter into this Agreement and subject; (ii) that the execution Executive has no information (including, without limitation, confidential information and delivery of this Agreement and the employment of the Executive hereunder will not constitute a breach of, or otherwise contravene, the terms of any law, agreement or policy by which it is bound.trade

The Company hereby represents to , and (ii) in the event Executive that it is authorized to enter into bound by any confidentiality, trade secret or similar agreement (other than this Agreement Agreement) with any other person or entity, Executive will comply with such agreement and that the execution and delivery of this Agreement and the employment of the Executive hereunder will not constitute a breach of, disclose any confidential information or otherwise contravene, the terms trade secret of any law, agreement or policy by which it is boundother party to Corporation.

The Executive hereby represents to the Company that his Bank that: (i) the execution and delivery of this Agreement by the Executive and the performance by the Executive of his the Executive’s duties hereunder will shall not constitute a breach of, or otherwise contravene, the terms of any employment or other agreement or policy to which the Executive is a party or by which he is otherwise bound. The Company hereby represents to ; and (ii) that the Executive that it is authorized to enter into not bound by any confidentiality, trade secret or similar agreement (other than this Agreement and that the execution and delivery of this Agreement and the employment of the Executive hereunder will not constitute a breach of, Agreement) with any other person or otherwise contravene, the terms of any law, agreement or policy by which it is boundentity.
