No Breaches of Representations and Warranties. Seller and Transcend will not take any action which would cause or constitute a breach, or would, if it had been taken immediately prior to the date hereof, have caused or constituted a breach, of any of the representations and warranties of Seller or Transcend set forth herein. Seller and Transcend will, in the event of, and promptly after the occurrence of or the impending or threatened occurrence of, any event which would cause or constitute a breach or would, if it had occurred immediately prior to the date hereof, have caused or constituted a breach of any of the representations and warranties of Seller or Transcend set forth herein, give detailed notice to CORE; and Seller and Transcend will use their best efforts to prevent or promptly to remedy such breach.
