No Broker. No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Company in connection with this Agreement or the transactions contemplated herein, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or finder’s or similar fee or other commission in respect of such transactions based on any agreement, arrangement or understanding with Company or any action taken by Company.

No financial advisor, broker, finder, agent finder or similar intermediary has acted for or on behalf of Company Buyer or any Affiliate of Buyer, or is entitled to any broker's, finder's or similar fee or other commission from Buyer or any Affiliate of Buyer, in connection with this Agreement or the transactions contemplated herein, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or finder’s or similar fee or other commission in respect of such transactions based on any agreement, arrangement or understanding with Company or any action taken by Companyhereby.

No financial advisor, broker, finder, agent or similar other intermediary has acted for or on behalf of Company Seller or otherwise assisted in connection with this Agreement or bringing about the transactions contemplated herein, by this Agreement and no financial advisor, broker, finder, agent or similar other intermediary is entitled to any broker’s commission or finder’s or similar fee or other commission in respect thereof based in any way on agreements, understandings or arrangements with or the conduct of such transactions based on any agreement, arrangement or understanding with Company or any action taken by CompanySeller.

No financial advisor, broker, finder, agent or similar intermediary has acted for or on Buyer’s behalf of Company in connection with this Agreement or the transactions contemplated herein, hereby and there are no financial advisor, brokerbrokerage commissions, finder, agent ’s fees or similar intermediary is entitled to any broker’s fees or finder’s or similar fee or other commission commissions payable by Buyer in respect of such transactions based on any agreement, arrangement or understanding with Company or any action taken by Companyconnection therewith.

No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Company the Buyer and Bogen in connection with this Agreement or the transactions contemplated hereinhereby, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or 's, finder’s 's or similar fee or other commission in respect of such transactions connection therewith based on any agreement, arrangement or understanding with Company the Buyer or Bogen or any action taken by Companythe Buyer or Bogen.

No financial advisor, broker, finder, agent broker or similar intermediary finder has acted for or on behalf of Company the Purchaser in connection with this Agreement his, her or its purchase of the transactions contemplated herein, Securities and no financial advisor, broker, finder, agent broker or similar intermediary finder is entitled to any broker’s or finder’s or similar fee fees or other commission commissions in respect of such transactions connection therewith based on agreements between the Purchaser and any agreement, arrangement broker or understanding with Company or any action taken by Companyfinder.

No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Company the Buyer in connection with this Agreement or the transactions contemplated hereinhereby, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or 's, finder’s 's, or similar fee or other commission in respect of such transactions connection therewith based on any agreement, arrangement or understanding with Company the Buyers or any action taken by Companythe Buyer.

No financial advisor, broker, finder, agent broker or similar intermediary finder has acted directly or indirectly for Acquiror or on behalf of Company Merger Sub in connection with this Agreement or the transactions contemplated hereinhereby, and no financial advisor, broker, finder, agent broker or similar intermediary finder is entitled to any broker’s brokerage or finder’s or similar fee or other commission in respect thereof based in any way on agreements, arrangements, or understandings made by or on behalf of such transactions based on any agreement, arrangement Acquiror or understanding with Company or any action taken by CompanyMerger Sub.

No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Company the Purchaser or IHS Sub in connection with this Agreement or the transactions contemplated hereinhereby, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or ’s, finder’s, agent’s or similar fee or other commission in respect of such transactions connection therewith based on any agreement, arrangement or understanding with Company the Purchaser or IHS Sub or any action taken by Companythe Purchaser or IHS Sub.

No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Company any of the Sellers in connection with this Agreement or the transactions contemplated hereinhereby, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or 's, finder’s 's, or similar fee or other commission in respect of such transactions connection therewith based on any agreement, arrangement or understanding with Company any Seller or any action taken by Companyeither of them.

No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Company Buyer, PISA or SAAF in connection with this Agreement or the transactions contemplated hereinhereby, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or 's, finder’s 's, or similar fee or other commission in respect of such transactions connection therewith based on any agreement, arrangement or understanding with Company Buyer, PISA or SAAF or any action taken by Companyany of them.

No Broker. No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Company Buyer in connection with this Agreement or the transactions contemplated hereinhereby, and no financial advisor, other broker, finder, agent or similar intermediary is entitled to any broker’s or finder’s brokers , finders , agents or similar fee or other commission in respect of such transactions connection therewith based on any agreement, arrangement or understanding with Company Buyer or any action taken by CompanyBuyer.

No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Company Seller in connection with this Agreement or the transactions contemplated hereinhereby, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or ’s, finder’s or similar fee or other commission in respect of such transactions connection therewith based on any agreement, arrangement or understanding with Company Seller or any action taken by CompanySeller.

No financial advisor, broker, finder, agent finder or similar intermediary has acted for or on behalf of Company such Seller or any Affiliate of any Seller, or is entitled to any broker’s, finder’s or similar fee or other commission based on arrangements made by such Seller or its Affiliates in connection with this Agreement or the transactions contemplated herein, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or finder’s or similar fee or other commission in respect of such transactions based on any agreement, arrangement or understanding with Company or any action taken by Companyhereby.

No Broker. No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Company the Investors in connection with this Agreement or the transactions contemplated hereinhereby, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or 's, finder’s 's, or similar fee or other commission in respect of such transactions connection therewith based on any agreement, arrangement contract or understanding other agreement with Company the Investors or any action taken by Companythe Investors.

No Broker. No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Company Buyer in connection with this Agreement or the transactions contemplated hereinhereby, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or ’s, finder’s or similar fee or other commission in respect of such transactions connection therewith based on any agreement, arrangement or understanding with Company Buyer or any action taken by CompanyBuyer.

No Broker. No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Company a Purchaser in connection with this Agreement or the transactions contemplated hereinhereby, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s or ’s, finder’s or similar fee or other commission in respect of such transactions connection therewith based on any agreement, arrangement or understanding with Company or any action taken by Companya Purchaser.
