Common use of No Broker Clause in Contracts

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrower.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Buyer in connection with this Agreement or the transactions transaction contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower the Buyer or any action taken by Borrowerthe Buyer.

No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Company in connection with this Agreement or the transactions contemplated herebyherein, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s, ’s or finder’s or similar fee or other commission in connection therewith respect of such transactions based on any agreement, arrangement or understanding with Borrower Company or any action taken by BorrowerCompany.

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Purchaser in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowerthe Purchaser.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Seller in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith with this Agreement based on any an agreement, arrangement or understanding with Borrower Seller or any action taken by BorrowerSeller.

No broker, finder, agent finder or similar intermediary has acted for or on behalf of Borrower Buyer or any Affiliate of Buyer, or is entitled to any broker's, finder's or similar fee or other commission from Buyer or any Affiliate of Buyer, in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrower.

No Except as expressly set forth herein, no broker, finder, agent finder or similar intermediary agent has acted for been employed by or on behalf of Borrower Buyer, and no Person with which Buyer has had any dealings or communications of any kind is entitled to any brokerage commission, finder’s fee or any similar compensation in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrower.

No broker, finder, finder or agent or similar intermediary has acted for or on behalf of Borrower Purchaser in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's, or similar fee or other commission in connection therewith with this Agreement based on any an agreement, or arrangement or understanding with Borrower Purchaser or any action taken by Borrowereither of Purchaser.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Buyer, PISA or SAAF in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's, or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower Buyer, PISA or SAAF or any action taken by Borrowerany of them.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower a Purchaser in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowera Purchaser.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Buyer in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s’s fee, finder’s fee, or similar fee or other commission for which either Seller will be liable in connection therewith based on any agreement, arrangement or understanding with Borrower Buyer or any action taken by BorrowerBuyer.

No broker, finder, agent or similar other intermediary has acted for or on behalf of Borrower Seller or otherwise assisted in connection with this Agreement or bringing about the transactions contemplated hereby, by this Agreement and no broker, finder, agent or similar other intermediary is entitled to any broker’scommission or finder's fee in respect thereof based in any way on agreements, finder’s understandings or similar fee arrangements with or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowerthe conduct of Seller.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower any of the Sellers in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's, or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower any Seller or any action taken by Borrowereither of them.

No Broker. No broker, finder, agent finder or similar intermediary has acted for or on behalf of Borrower Buyer or any Affiliate of Buyer, or is entitled to any broker's, finder's or similar fee or other commission based on arrangements made by Buyer or its Affiliates in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrower.

No broker, finder, agent finder or similar intermediary has acted for for, or on behalf of, the Company or any Seller or any of Borrower their respective Affiliates in connection with this Agreement or the transactions contemplated herebyTransactions, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower the Company or any action taken by BorrowerSeller or any of their respective Affiliates nor otherwise as a result of the Company’s or any Seller’s actions.

No broker, finderfinder or other person acting in a similar capacity has been employed or retained by Buyer in connection with the transactions contemplated by this Agreement, agent and no broker, finder or other person is entitled to receive any brokerage, finders' or similar intermediary has acted for fee or on behalf of Borrower commission in connection with this Agreement or and the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrower.

No financial advisor, broker, finder, agent or similar intermediary has acted for or on behalf of Borrower such Seller in connection with this Agreement or the transactions contemplated herebyherein, and no financial advisor, broker, finder, agent or similar intermediary is entitled to any broker’s, 's or finder’s 's or similar fee or other commission in connection therewith respect of such transactions based on any agreement, arrangement or understanding with Borrower such Seller or any action taken by Borrowersuch Seller.

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Seller in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower Seller or any action taken by BorrowerSeller.

No Broker. No broker, finder, agent broker or similar intermediary finder has acted directly or indirectly for Acquiror or on behalf of Borrower Merger Sub in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent broker or similar intermediary finder is entitled to any broker’s, brokerage or finder’s or similar fee or other commission in connection therewith respect thereof based in any way on any agreementagreements, arrangement arrangements, or understanding with Borrower understandings made by or any action taken by Borroweron behalf of Acquiror or Merger Sub.

No Broker. No Broker. No broker, finder, agent broker or similar intermediary finder has acted for or on behalf of Borrower the Purchaser in connection with this Agreement his, her or its purchase of the transactions contemplated hereby, Securities and no broker, finder, agent broker or similar intermediary finder is entitled to any broker’s, ’s or finder’s or similar fee fees or other commission commissions in connection therewith based on agreements between the Purchaser and any agreement, arrangement broker or understanding with Borrower or any action taken by Borrowerfinder.

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Buyer in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's, or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower the Buyers or any action taken by Borrowerthe Buyer.

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Purchaser or IHS Sub in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s, finder’s, agent’s or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower the Purchaser or IHS Sub or any action taken by Borrowerthe Purchaser or IHS Sub.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Seller in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's or similar fee or other commission in connection therewith with this Agreement based on any agreement, arrangement or understanding with Borrower Seller or any action taken by BorrowerSeller.

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Seller or the Shareholders in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or agent, similar intermediary or other Person is entitled to any broker’s, finder’s ’s, or similar fee or fee, other commission or payment in connection therewith based on any agreement, arrangement or understanding with Borrower Seller or the Shareholders or any action taken by BorrowerSeller or the Shareholders.

No broker, finder, agent or similar intermediary has acted for or on Buyer’s behalf of Borrower in connection with this Agreement or the transactions contemplated hereby, hereby and there are no broker, finder, agent or similar intermediary is entitled to any broker’sbrokerage commissions, finder’s fees or similar fee fees or other commission commissions payable by Buyer in connection therewith based on any agreement, arrangement or understanding with Borrower or any action taken by Borrowertherewith.

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Seller or C&K in connection with this Agreement Agreement, or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower the Seller or C&K or any action taken by Borrower.the Seller or C&K.

No Broker. No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower Buyer in connection with this Agreement or the transactions contemplated hereby, and no other broker, finder, agent or similar intermediary is entitled to any broker’sbrokers , finder’s finders , agents or similar fee or other commission in connection therewith based on any agreement, arrangement or understanding with Borrower Buyer or any action taken by BorrowerBuyer.

No broker, finder, agent or similar intermediary has acted for or on behalf of Borrower the Investors in connection with this Agreement or the transactions contemplated hereby, and no broker, finder, agent or similar intermediary is entitled to any broker’s's, finder’s 's, or similar fee or other commission in connection therewith based on any agreement, arrangement contract or understanding other agreement with Borrower the Investors or any action taken by Borrowerthe Investors.
