Common use of No Broker Clause in Contracts

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, to any broker’s, finder’s or financial advisor’s fee or commission in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by Buyer.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall be entitled, as a result of any action, agreement or commitment of Buyer Seller or any of its AffiliatesAffiliates (other than Buyer), to any broker’s, finder’s or financial advisor’s fee or commission in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by BuyerSeller.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, entitled to any broker’s, finder’s or ’s, financial advisor’s or other similar fee or any other commission or similar fee, or the reimbursement of expenses in connection therewith, in connection with the Backstop Subscription based upon arrangements made by or on behalf of the Investor or any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by Buyerits Affiliates.

No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, entitled to any broker’s, finder’s or ’s, financial advisor’s or other similar fee or any other commission or similar fee, or the reimbursement of expenses in connection therewith, in connection with any of the transactions contemplated Transactions based upon arrangements made by this Agreement, except for or on behalf of the Investor or any such fee or commission that will be paid by Buyerof its Affiliates.

No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall will be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, entitled to any broker’s, finder’s or financial advisorfinder’s fee or any other commission or similar fee payable by the Company in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by Buyer.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall will be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, entitled to any broker’s, finder’s or financial advisorfinder’s fee or any other commission or similar fee payable by the Buying Parties in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by Buyer.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall be entitled, as a result of any action, agreement or commitment of Buyer Sellers or any of its their Affiliates, to any broker’s, finder’s or financial advisor’s fee or commission in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by BuyerSellers.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall be entitled, as a result of any action, agreement or commitment of Buyer Buyer, Master Fund, or Feeder Fund or any of its their Affiliates, to any broker’s, finder’s or financial advisor’s fee or commission in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by Buyer, Master Fund, or Feeder Fund.

No Broker. No agent, broker, finder, investment banker, financial advisor Person or other firm or Person is or shall be entitled, as a result of any action, agreement or commitment acting on behalf of Buyer or any of its Affiliates, Affiliates is entitled to any fee, commission or broker’s, ’s or finder’s or financial advisor’s fee or commission fees from any of the parties hereto, in connection with this Agreement or any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by Buyerhereby.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall will be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, entitled to any broker’s, finder’s or ’s, financial advisor’s fee or any other commission or similar fee, or the reimbursement of expenses in connection therewith, in connection with any of the transactions contemplated by this AgreementTransactions based upon arrangements made by, except for or on behalf of, the Investor or any such fee of its Affiliates or commission that will be paid by Buyerany of their respective officers, directors, employees or agents.

No agent, broker, finder, investment banker, financial advisor or other firm or Person is entitled to any broker’s, finder’s, financial advisor’s or shall be entitledother similar fee or any other commission or similar fee, as a result or the reimbursement of expenses in connection therewith, in connection with any action, agreement of the Transactions based upon arrangements made by or commitment on behalf of Buyer such Investor or any of its Affiliates, to any broker’s, finder’s or financial advisor’s fee or commission in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that Persons, if any, whose fees and expenses will be paid by Buyersuch Investor as described in Section 5.10.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is entitled to any broker’s, finder’s, financial advisor’s or shall be entitledother similar fee or any other commission or similar fee, as a result or the reimbursement of expenses in connection therewith, in connection with any action, agreement of the Transactions based upon arrangements made by or commitment on behalf of Buyer the Investor or any of its Affiliates, to any broker’s, finder’s or financial advisor’s fee or commission in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that Persons, if any, whose fees and expenses will be paid by Buyerthe Investor or the Company as described in Section 5.09 of the LP Investment Agreement.

No agent, agent broker, finderperson or firm acting on behalf of the Purchasers or under their authority, investment banker, financial advisor or other firm or Person is or shall will be entitledentitled to a financial advisory fee, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, to any broker’sbrokerage commission, finder’s or financial advisor’s 's fee or commission like payment in connection with this Agreement or any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by Buyerhereby.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall be entitled, as a result of any action, agreement or commitment of Buyer Sellers or any of its their respective Affiliates, to any broker’s, finder’s or financial advisor’s fee or commission in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by BuyerSellers.

No Broker. No agent, broker, finder, financial advisor, investment banker, financial advisor banker or other firm Person has acted for or Person on behalf of, or is or shall be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, entitled to any broker’s, finder’s or ’s, financial advisor’s or similar fee or other commission from, Acquiror or its Affiliates (including after the Closing, the Company) in connection with the Merger, the Transactions or any of the transactions other transaction contemplated by this Agreement, except for any such fee Agreement or commission that will be paid by Buyerthe Ancillary Agreements.

No Broker. No agent, broker, finder, investment banker, financial advisor banker or other firm Person acting on behalf of Purchaser or Person any of its Affiliates or any of its or their directors or officers is or shall be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, entitled to any broker’s, finder’s or financial advisorfinder’s fee or any other commission or similar fee, directly or indirectly, from Sellers, including, without limitation, the Corporation, in connection with any of the transactions contemplated by provided for in this Agreement, except for any such fee or commission that will be paid by Buyer.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall will be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, entitled to any broker’s, 's or finder’s 's fee payable by Seller or financial advisor’s Parent or any other commission or similar fee or commission in connection with any of the transactions contemplated by this Agreement, Agreement except for any such fee or commission that will Capital Development Services, the fees of which shall be paid by Buyerthe responsibility of Parent and/or Seller.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall will be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, entitled to any broker’s, finder’s or financial advisorfinder’s fee or any other commission or similar fee payable by Purchaser in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by Buyer.

No agent, brokerbroker or other Person acting on behalf of Buyers or under their authority is or will be entitled to a financial advisory fee, brokerage commission, finder, investment banker, financial advisor or other firm or Person is or shall be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, to any broker’s, finder’s or financial advisor’s 's fee or commission like payment in connection with any the origination, negotiation or execution of the Agreement or the consummation of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by Buyerthereby.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall will be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, entitled to any broker’s, ’s or finder’s fee payable by Seller or financial advisor’s Parent or any other commission or similar fee or commission in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that will Capital Development Services, the fees of which shall be paid by Buyerthe responsibility of Parent and/or Seller.

No Broker. No agent, broker, finder, investment banker, financial advisor banker or other firm Person acting on behalf of Sellers, the Corporation or Person any of its or their respective directors or officers is or shall be entitled, as a result of any action, agreement or commitment of Buyer or any of its Affiliates, entitled to any broker’s, finder’s or financial advisorfinder’s fee or any other commission or similar fee, directly or indirectly, from any of the parties hereto in connection with any of the transactions contemplated by provided for in this Agreement, except for any such fee or commission that will be paid by Buyer.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is entitled to any broker’s, finder’s, financial advisor’s or shall be entitledother similar fee or any other commission or similar fee, as a result or the reimbursement of expenses in connection therewith, in connection with any action, agreement of the Transactions based upon arrangements made by or commitment on behalf of Buyer Investor or any of its Affiliates, to any broker’s, finder’s or financial advisor’s fee or commission in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that Persons, if any, whose fees and expenses will be paid by BuyerInvestor or by NewCo pursuant to Section 4.06.

No Broker. No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall be entitled, as a result of any action, agreement or commitment of each Buyer or any of its Affiliates, to any broker’s, finder’s or financial advisor’s fee or commission in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by Buyer.

No agent, broker, finder, investment banker, financial advisor or other firm or Person is or shall be entitled, as a result of any action, agreement or commitment of Buyer Seller or any of its their respective Affiliates, to any broker’s, finder’s or financial advisor’s fee or commission in connection with any of the transactions contemplated by this Agreement, except for any such fee or commission that will be paid by BuyerSeller.
