No person, firm or corporation has or will have, as a result of any contractual undertaking by the Investor, any right, interest or valid claim against the Investor or the Company for any commission, fee or other compensation as a finder or broker, or in any similar capacity, in connection with the transactions contemplated by the Transaction Documents. Each responsible Investor will indemnify and hold the Company harmless against any and all liability with respect to any such commission, fee or other compensation which may be payable or determined to be payable.

No person, firm or corporation has or will have, as a result of any contractual undertaking act or omission by any of the InvestorCompany and its Subsidiaries, any right, interest or valid claim against the Investor Purchaser or any of the Company and its Subsidiaries for any commission, fee or other compensation as a finder or broker, or in any similar capacity, other than with respect to the opinion referred to in Section 4.9 hereof (the costs of which will be borne by the Company), in connection with the transactions contemplated by the Transaction Documents. Each responsible Investor The Purchaser will indemnify pay, and hold the Company harmless against against, any liability, loss or expense (including, without limitation, reasonable attorneys' fees and all liability out-of-pocket expenses) arising in connection with respect to any such commission, fee or other compensation which may be payable or determined to be payableclaim.

No person, firm or corporation Person has or will have, as a result of any contractual undertaking the transactions contemplated by the Investorthis Agreement, any right, interest or valid claim against or upon the Investor Company, any of its Subsidiaries or the Company any Purchaser for any commission, fee or other compensation as a finder or broker, broker because of any act or in any similar capacity, in connection with the transactions contemplated omission by the Transaction Documents. Each responsible Investor will indemnify and hold Company or any of its Subsidiaries, other than Financial Technology Partners, LP whose fee is the Company harmless against any and all liability with respect to any such commission, fee or other compensation which may be payable or determined to be payablesole responsibility of the Company.

Each responsible Investor will indemnify and hold the Company harmless against any and all liability with respect to any such commission, fee or other compensation which may be payable or determined to be payablethis Agreement.
