No Cease Trade Orders. No order, ruling or determination having the effect of ceasing or suspending the distribution of the Offered Securities or ceasing or suspending the trading of any securities of the Fund or the use of the Offering Documents, or prohibiting the sale of the Offered Securities has been issued or made by any Government Authority and no proceedings have been initiated or, to the knowledge of the Fund, threatened or are pending by any Governmental Authority in relation thereto, and any request by any Securities Regulator for additional information has been complied with.

No order, ruling or determination having the effect of ceasing or suspending the distribution of the Offered Securities or ceasing or suspending the trading of any securities of the Fund Corporation or the use of the Offering Documents, or prohibiting the sale of the Offered Securities has been issued or made by any Government Authority and no proceedings have been initiated or, to the knowledge of the FundCorporation, threatened or are pending by any Governmental Authority in relation thereto, and any request by any Securities Regulator for additional information has been complied with.

No order, ruling or determination having the effect of ceasing or suspending the distribution of the Offered Securities sale or ceasing or suspending the trading of in any securities of the Fund or the use of the Offering Documents, or prohibiting the sale of the Offered Securities Acquiror has been issued or made by any Government Authority regulatory authority and is continuing in effect and no proceedings for that purpose have been initiated instituted or, to the knowledge of the FundAcquiror, are pending, contemplated or threatened or are pending by any Governmental Authority in relation thereto, and any request by any Securities Regulator for additional information has been complied withregulatory authority.
