No Change in or Disposition of Intercompany Subordinated Debt. The Subordinated Creditors will not, without the prior written consent of Majority Lenders (except to the extent that Subordinated Creditors are expressly permitted to do under the Credit Agreement in their respective capacities as “Obligors” thereunder): sell, assign, transfer, endorse, pledge, encumber or otherwise Dispose of any of the Intercompany Subordinated Debt; or permit the terms of any of the Intercompany Subordinated Debt to be changed in such a manner as to have a material adverse effect upon rights or interests of the Lenders.
