No Change in or Disposition of Subordinated Debt. Each Subordinated Creditor agrees that it shall not, without the prior written consent of the Administrative Agent: (a) cancel or otherwise discharge any of the Subordinated Debt (except for payments made in accordance with Section 2) or subordinate any of the Subordinated Debt to any indebtedness other than the Obligations; or (b) except, in each case, as permitted by the Credit Agreement, sell, assign, pledge, encumber or otherwise dispose of any of the Subordinated Debt.
