Common use of No Change; Solvent Clause in Contracts

(a) Since December 31, 2016, except as and to the extent disclosed on Schedule 5.2, there has been no development or event relating to or affecting any Loan Party which has had or would be reasonably expected to have a Material Adverse Effect, and (b) as of the Effective Date, after giving effect to the incurrence of the Indebtedness pursuant hereto, the Borrower and its Subsidiaries, on a consolidated basis, are Solvent.
