Since the date of the audited financial statements referenced in Section 6.1, (a) there has been no circumstance, development or event relating to or affecting the Parent or any of its Subsidiaries which has had or would be reasonably expected to have a Material Adverse Effect and (b) except as permitted herein, no Restricted Payments have been made or declared or are contemplated by the Parent or any of its Subsidiaries.
