No Changes Prior to Closing. After execution of this Agreement and prior to the Closing Date, none of the following shall have occurred: (a) damage or destruction in the nature of a casualty loss, whether covered by insurance or not, materially and adversely affecting the Business; or (b) the legal inability of Seller to convey, assign and transfer to Purchaser any material portion of the Purchased Assets with the effect of materially and adversely affecting the ability of Purchaser to utilize the Purchased Assets in a manner consistent with the operation of the Business.
