There are no unfair labor practices, grievances or complaints pending, or, to the best of the Borrower knowledge after due inquiry, threatened, against or involving the Borrower or any of its Material Subsidiaries, nor are there any arbitration or grievances threatened that are reasonably likely to involve the Borrower or any of its Material Subsidiaries, other than those which, in the aggregate, if resolved adversely to the Borrower or such Material Subsidiary, would have no Material Adverse Effect.
