No Compensation or General Solicitation. Neither the Company, --------------------------------------- nor any of its affiliates, nor any person acting on its or their behalf, has paid or given, either directly or indirectly, any commission or other remuneration to any person for soliciting the exchange of the Old Preferred Shares or the Old Warrants for the Exchange Preferred Shares or for any other transaction contemplated by this Agreement.
