No Condemnation, Expropriation or Similar Action. Neither the whole nor any portion of the properties or assets of Company or any Company Subsidiary is subject to any Order to be sold or is being condemned, expropriated or otherwise taken by any Governmental Entity with or without payment of compensation therefore, and to Company's Knowledge, no such condemnation, expropriation or taking has been planned, scheduled or proposed.
