No Conflict; Due Authorization. The execution, delivery and performance of this Agreement and all agreements and other documents executed by the Buyer in connection herewith does not, and the consummation of the transactions contemplated hereby will not, violate any provision of the Buyer’s organizational documents or applicable law. Buyer has taken all actions required by law, its organizational documents or otherwise to authorize the execution, delivery and performance of this Agreement and to consummate the transactions herein contemplated.
