No Conflict; Government Approvals. The execution, delivery and performance by the Borrower, each U.S. Guarantor, and the European Subsidiaries of this Second Waiver Agreement and the other documents executed in connection herewith will not: (a) conflict with, violate or result in the breach of any provisions of any applicable law, rule, regulation or order; or (b) conflict with or result in the breach of any provision of its Articles of Incorporation, charter, and/or by-laws. No authorization, consent or approval of, or other action by, and no notice of or filing with, any governmental authority or regulatory body is required to be obtained or made by the Borrower for the due execution, delivery and performance of this Second Waiver Agreement.
