No Conflict or Breach. None of the execution, delivery and performance by such Member of this Agreement, the compliance with the terms and provisions hereof, and the carrying out of the transactions contemplated hereby, conflicts or will conflict with or will result in a breach or violation of any of the terms, conditions or provisions of any law, governmental rule or regulation or the charter documents, as amended, or other organizational documents, as amended, of such Member or any order, writ, injunction, judgment or decree of any court or other Governmental Person entered against such Member or by which it or any of its properties is bound, or any loan agreement, indenture, mortgage, note, resolution, bond, or contract or other agreement or instrument to which such Member is a party or by which it or any of its properties is bound, or constitutes or will constitute a default thereunder or will result in the imposition of any lien upon any of its properties.

None of the execution, delivery delivery, and performance by such Member of this Agreement, the compliance with the terms and provisions hereof, hereof and the carrying out of the transactions contemplated hereby, conflicts or will conflict with or will result in a breach or violation of any of the terms, conditions or provisions of any law, governmental rule or regulation or the charter documents, as amended, organizational or other organizational documents, as amended, corporate documents of such Member or any applicable order, writ, injunction, judgment or decree of any court or other Governmental Person entered governmental authority against such Member or by which it or any of its properties (other than its Shares in the Company) is bound, or any loan agreement, indenture, mortgage, bond, note, resolution, bond, or contract or other agreement or instrument to which such Member is a party or by which it or any of its properties is bound, or constitutes or will constitute a default thereunder or will result in the imposition of any lien upon any of its properties.

No Conflict or Breach. None of the execution, delivery and performance --------------------- by such Member the Corporation of this Agreement, the compliance with the terms and provisions hereof, hereof and the carrying out of the transactions contemplated hereby, conflicts or will conflict with or will result in a breach or violation of any of the terms, conditions or provisions of any law, governmental rule or regulation or the charter documents, as amended, documents or other organizational documents, as amended, bylaws of such Member the Corporation or any applicable order, writ, injunction, judgment or decree of any court or other Governmental Person entered governmental authority against such Member the Corporation or by which it or any of its properties (other than its Percentage Interest in the Corporation), is bound, or any loan agreement, indenture, mortgage, bond, note, resolution, bond, or contract or other agreement or instrument to which such Member the Corporation is a party or by which it or any of its properties is bound, or constitutes or will constitute a default thereunder or will result in the imposition of any lien upon any of its properties.
