The execution, delivery and performance of this Agreement by Company do Imagin does not and will not violate or conflict with any provision of its Articles of Incorporation the formation documents or By-lawslaws of Imagin, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or nor will result in a breach of or constitute (with due notice or lapse of time or both) a default under, under or give to any other entity any right of termination, amendment, acceleration or cancellation of, of any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company Imagin is a party or by which it any of them is bound or to which any of its or their respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyImagin, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company Imagin is bound.

No Conflict or Violation. The execution, delivery and performance of this Agreement by Company do Dolce does not and will not violate or conflict with any provision of its Articles of Incorporation or By-laws, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or result in a breach of or constitute (with due notice or lapse of time or both) a default under, or give to any other entity any right of termination, amendment, acceleration or cancellation of, any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company Dolce is a party or by which it is bound or to which any of their respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyDolce, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company Dolce is bound.

No Conflict or Violation. The execution, delivery and performance of this Agreement by Company do the Parent does not and will not violate or conflict with any provision of its Articles of Incorporation or By-laws, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or result in a breach of or constitute (with due notice or lapse of time or both) a default under, or give to any other entity any right of termination, amendment, acceleration or cancellation of, any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company the Parent is a party or by which it is bound or to which any of their respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of Companythe Parent, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company the Parent is bound.

The execution, delivery and performance of this Agreement by Company do DESERT does not and will not violate or conflict with any provision of its the Articles of Incorporation or By-lawslaws of DESERT, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or nor will result in a breach of or constitute (with due notice or lapse of time or both) a default under, under or give to any other entity any right of termination, amendment, acceleration or cancellation of, of any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company DESERT is a party or by which it is bound or to which any of their its respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyDESERT, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company DESERT is bound.

No Conflict or Violation. The execution, delivery and performance of this Agreement by Company Discovery do not and will not violate or conflict with any provision of its Articles of Incorporation or By-laws, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or result in a breach of or constitute (with due notice or lapse of time or both) a default under, or give to any other entity any right of termination, amendment, acceleration or cancellation of, any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company Discovery is a party or by which it is bound or to which any of their respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyDiscovery, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company Discovery is bound.

No Conflict or Violation. The execution, delivery and performance of this Agreement by Company do Imagin does not and will not violate or conflict with any provision of its Articles of Incorporation the information documents or By-lawslaws of Imagin, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or nor will result in a breach of or constitute (with due notice or lapse of time or both) a default under, under or give to any other entity any right of termination, amendment, acceleration or cancellation of, of any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company Imagin is a party or by which it any of them is bound or to which any of its or their respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyImagine, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company Imagin is bound.

The execution, delivery and performance of this Agreement by Company do VPW and MEMBERS does not and will not violate or conflict with any provision of its the Articles of Incorporation Organization or By-lawsOperating Agreement of VPW, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or nor will result in a breach of or constitute (with due notice or lapse of time or both) a default under, under or give to any other entity any right of termination, amendment, acceleration or cancellation of, of any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company VPW or MEMBERS is a party or by which it any of them is bound or to which any of its or their respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyVPW, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company VPW is bound.

The execution, delivery and performance of this Agreement by Company do MM and each Shareholder does not and will not violate or conflict with any provision of its the Articles of Incorporation or By-lawslaws of MM, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or nor will result in a breach of or constitute (with due notice or lapse of time or both) a default under, under or give to any other entity any right of termination, amendment, acceleration or cancellation of, of any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company MM or any Shareholder is a party or by which it any of them is bound or to which any of its or their respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyMM, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company MM is bound.

The execution, delivery and performance of this Agreement by Company do ONE and UGTI does not and will not violate or conflict with any provision of its their respective Articles of Incorporation or By-laws, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or result in a breach of or constitute (with due notice or lapse of time or both) a default under, or give to any other entity any right of termination, amendment, acceleration or cancellation of, any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company ONE or UGTI is a party or by which it either of them is bound or to which any of their respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyONE or UGTI, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company ONE or UGTI is bound.

No Conflict or Violation. The execution, delivery and performance by the Seller of this Agreement by Company the Transaction Documents do not and will not violate or conflict with any provision of its Articles the Certificate of Incorporation or By-laws, laws of the Seller and does do not and will not violate any provision of law, rule or regulation, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or nor will result in a breach of or constitute (with due notice or lapse of time or both) a default under, or give rise to any other entity acceleration of remedies or any right of termination, amendment, acceleration termination or cancellation ofrepossession under, any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company the Seller is a party or by which it is bound or to which any of their respective its properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever Lien upon any of the properties or assets of CompanyPurchased Property, nor will it result in the cancellation, modification, revocation or suspension of any of the material licenses, franchises, permits to which Company is boundpermits, authorizations or approvals of any federal, state or local government or any department, agency, board, regulatory authority, commission, bureau or instrumentality of any of the foregoing.

The execution, delivery and performance of this Agreement by Company do Ovale does not and will not violate or conflict with any provision of its the Articles of Incorporation or By-lawslaws of Ovale, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or result in a breach of or constitute (with due notice or lapse of time or both) a default under, or give to any other entity any right of termination, amendment, acceleration or cancellation ofcancellation, of any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company Ovale is a party or by which it is bound or to which any of their respective its properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyOvale, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company Ovale is bound.

The execution, delivery and performance of this Agreement by Company SHELL do not and will not violate or conflict with any provision of its Articles of Incorporation or By-laws, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or result in a breach of or constitute (with due notice or lapse of time or both) a default under, or give to any other entity any right of termination, amendment, acceleration or cancellation of, any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company SHELL is a party or by which it is bound or to which any of their respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanySHELL, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company SHELL is bound.

The execution, delivery and performance of this Agreement by Company do UBN and MEMBERS does not and will not violate or conflict with any provision of its the Articles of Incorporation Organization or By-lawsOperating Agreement of UBN, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or nor will result in a breach of or constitute (with due notice or lapse of time or both) a default under, under or give to any other entity any right of termination, amendment, acceleration or cancellation of, of any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company UBN or MEMBERS is a party or by which it any of them is bound or to which any of its or their respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyUBN, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company UBN is bound.

The execution, delivery and performance of this Agreement by Company do Parallel does not and will not violate or conflict with any provision of its Articles of Incorporation or By-laws, and does not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or result in a breach of or constitute (with due notice or lapse of time or both) a default under, or give to any other entity any right of termination, amendment, acceleration or cancellation of, any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company Parallel is a party or by which it is bound or to which any of their respective properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyParallel, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, permits to which Company Parallel is bound.

The execution, delivery and performance of this Agreement by Company HHEG do not and will not violate or conflict with any provision of its Memorandum and Articles of Incorporation or By-lawsAssociation, and does do not and will not violate any provision of law, or any order, judgment or decree of any court or other governmental or regulatory authority, nor violate or result in a breach of or constitute (with due notice or lapse of time or both) a default under, or give to any other entity any right of termination, amendment, acceleration or cancellation of, of any contract, lease, loan agreement, mortgage, security agreement, trust indenture or other agreement or instrument to which Company HHEG is a party or by which it is bound or to which any of their respective its properties or assets is subject, nor will it result in the creation or imposition of any lien, charge or encumbrance of any kind whatsoever upon any of the properties or assets of CompanyHHEG, nor will it result in the cancellation, modification, revocation or suspension of any of the licenses, franchises, franchises or permits to which Company HHEG is bound.
