Common use of No Conflict or Violation Clause in Contracts

No Conflict or Violation. The execution, delivery and performance by Buyer of this Agreement and the other Transaction Documents to be executed and delivered by Buyer and the consummation of the transactions contemplated hereby and thereby, do not and will not: (i) violate or conflict with any provision of the charter documents or bylaws of Buyer; or (ii) violate in any material respect any provision or requirement of any domestic or foreign, national, state or local law, statute, judgment, order, writ, injunction, decree, award, rule, or regulation of any Governmental Entity applicable to Buyer.

No Conflict or Violation. The Neither the execution, delivery and or performance by Buyer of this Agreement and or the other Transaction Documents to be executed and delivered by Buyer and Ancillary Agreements nor the consummation of the transactions contemplated hereby and or thereby, do not and nor compliance by Buyer with any of the provisions hereof or thereof, will not: (ia) violate or conflict with any provision of the charter documents Certificate of Incorporation or bylaws Bylaws of Buyer; , or (iib) violate in any material respect any provision or requirement of any domestic or foreignstatute, nationalrule, state or local lawregulation, statuteordinance, code, order, judgment, orderruling, writ, injunction, decree, award, rule, decree or regulation of any Governmental Entity applicable to award binding upon Buyer.

No Conflict or Violation. The execution, delivery and performance by Buyer of this Agreement and the other Transaction Documents to be executed and delivered by Buyer and the consummation of the transactions contemplated hereby in accordance with the respective terms and thereby, do conditions hereof will not and will not: (ia) violate or conflict with any provision of the charter documents Articles of Incorporation or bylaws Bylaws of Buyer; the Company, or (iib) violate in any material respect any provision or requirement of any domestic or foreign, national, state or local law, statuteorder, judgment, order, writ, injunction, decreeaward or decree of any court, award, rulearbitrator or governmental or regulatory body against, or regulation of binding upon, or any Governmental Entity applicable to Buyeragreement with, or condition imposed by, any governmental or regulatory body, foreign or domestic, binding upon the Company.

The execution, delivery and performance by Buyer of this Agreement and the other Transaction Documents to be executed and delivered by Buyer and the consummation of the transactions contemplated hereby and thereby, do not and will not: (i) violate or conflict with any provision of the charter documents or bylaws of Buyer; or (ii) violate in any material respect any provision or requirement of any domestic or foreign, national, state or local law, statute, judgment, order, writ, injunction, decree, award, rule, or regulation of any Governmental Entity applicable to Buyer.

The execution, Neither the execution and delivery and performance by Buyer of this Agreement and or the other Transaction Documents to be executed and delivered by Buyer and Agreements nor the consummation of the transactions and performance of the terms and conditions contemplated hereby and thereby, do not and will not: or thereby by Buyer (i) conflict with or result in a violation or breach of any provision of the certificate of formation, regulations, or other similar governing documents of Buyer or any agreement, indenture or other instrument under which Buyer is bound or (ii) violate or conflict with any provision of Law applicable to Buyer or the charter documents properties or bylaws assets of Buyer; or (ii) violate in any material respect any provision or requirement of any domestic or foreign, national, state or local law, statute, judgment, order, writ, injunction, decree, award, rule, or regulation of any Governmental Entity applicable to Buyer.

The execution, Neither the execution and delivery and performance by Buyer of this Agreement and the other Transaction Documents to be executed and delivered by Buyer and nor the consummation of the transactions and performance of the terms and conditions contemplated hereby and thereby, do not and will not: by Buyer (i) conflict with or result in a violation or breach of any provision of the certificate of formation, regulations, or other similar governing documents of Buyer or any Contract under which Buyer is bound or (ii) violate or conflict with any provision of Law applicable to Buyer or the charter documents properties or bylaws assets of Buyer; or (ii) violate in any material respect any provision or requirement of any domestic or foreign, national, state or local law, statute, judgment, order, writ, injunction, decree, award, rule, or regulation of any Governmental Entity applicable to Buyer.

No Conflict or Violation. The Neither the execution, delivery and or performance by Buyer of this Agreement and the other Transaction Documents to be executed and delivered by Buyer and nor the consummation of the transactions contemplated hereby and therebyhereby, do not and nor compliance by Buyer with any of the provisions hereof, will not: (ia) violate or conflict with any provision of the charter organizational documents or bylaws of Buyer; Buyer or (ii) b)to Buyer’s knowledge, violate in any material respect any provision or requirement of any domestic or foreignstatute, nationalrule, state or local lawregulation, statuteordinance, code, order, judgment, orderruling, writ, injunction, decree, award, rule, decree or regulation of any Governmental Entity award applicable to Buyer.

No Conflict or Violation. The Neither the execution, delivery and or performance by Buyer of this Agreement and the other Transaction Documents to be executed and delivered by Buyer and nor the consummation of the transactions contemplated hereby and therebyhereby, do not and nor compliance by Buyer with any of the provisions hereof, will not: (i) violate or conflict with any provision of the charter organizational documents or bylaws Bylaws of Buyer; , or (ii) violate in any material respect any provision or requirement of any domestic or foreignstatute, nationalrule, state or local lawregulation, statuteordinance, code, order, judgment, orderruling, writ, injunction, decree, award, rule, decree or regulation of any Governmental Entity applicable to award binding upon Buyer.

No Conflict or Violation. No Conflict or Violation. The Neither the execution, delivery and or performance by Buyer of this Agreement and or the other Transaction Documents to be executed and delivered Related Agreements by Buyer and Purchaser, nor the consummation of the transactions contemplated hereby and therebyor thereby by Purchaser, do not and will not: (ia) violate or conflict with any provision of the charter documents Articles of Incorporation or bylaws Bylaws of Buyer; Purchaser (b) result in or constitute a breach of, or a default under, any terms or provision of any agreement, instrument, obligation, permit or license to which Purchaser is a party or by which its assets are bound or (iic) violate in any material respect any provision or requirement of any domestic or foreign, national, state or local law, statute, judgment, order, writ, injunction, decree, award, rule, or regulation of any Governmental Entity applicable to BuyerLaw.

No Conflict or Violation. The execution, execution and delivery and performance by Buyer of this Agreement and the other Transaction Documents to be executed and delivered by Buyer and Buyer, the consummation of the transactions contemplated hereby and therebythe performance by Buyer of the terms, do conditions and provisions hereof has not and will not: not contravene or violate or result in a breach of (with or without the giving of notice or lapse of time, or both) or acceleration of any material obligations of Buyer under (i) violate or conflict with any provision of the charter documents or bylaws of Buyer; or applicable Law, (ii) violate in any material respect any provision agreement, instrument or requirement document to which Buyer is a party or by which it is bound or (iii) the articles, bylaws or governing documents of any domestic or foreign, national, state or local law, statute, judgment, order, writ, injunction, decree, award, rule, or regulation of any Governmental Entity applicable to Buyer.

No Conflict or Violation. The Neither the execution, delivery and or ------------------------ performance by Buyer of this Agreement and or the other Transaction Documents to be executed and delivered by Buyer and Ancillary Agreements nor the consummation of the transactions contemplated hereby and or thereby, do not and nor compliance by Buyer with any of the provisions hereof or thereof, will not: (ia) violate or conflict with any provision of the charter documents Certificate of Incorporation or bylaws Bylaws of Buyer; , or (iib) violate violate, conflict with or result in any material respect any provision or requirement a breach of any domestic or foreignstatute, nationalrule, state or local lawregulation, statuteordinance, code, order, judgment, orderruling, writ, injunction, decree, award, rule, decree or regulation of any Governmental Entity applicable to award binding upon Buyer.

No Conflict or Violation. The execution, Neither the execution and delivery and performance by Buyer ------------------------ of this Agreement and the other Transaction Documents to be executed and delivered by Buyer and nor the consummation of the transactions contemplated hereby and thereby, do not and will not: result in (ia) violate a violation of or a conflict with any provision of the charter documents respective Certificates of Incorporation or bylaws Bylaws of Buyer; Sellers, as amended, or (iib) violate in any material respect any provision or requirement a violation by either Seller of any domestic or foreign, national, state or local law, statute, judgmentrule, regulation, ordinance, code, order, judgment, writ, injunction, decree, decree or award, rule, or regulation which violation would have a material adverse effect on the ability of any Governmental Entity applicable the Sellers to Buyerconsummate the transactions contemplated hereby.

No Conflict or Violation. The execution, delivery and performance by Buyer of this Agreement and the other Transaction Documents to be executed and delivered by Buyer and the consummation each of the transactions contemplated hereby and thereby, do Purchaser Related Agreements shall not and will not: result in (i) violate a violation of or a conflict with any provision of the charter documents articles or bylaws certificate of Buyer; incorporation (including any certificates of designation) or by-laws of Purchaser, (ii) violate in a breach of, or a default under, any material respect any term or provision or requirement of any domestic agreement to which Purchaser is a party or foreign, national, state or local (iii) a violation of any applicable law, statute, judgment, order, writ, injunction, decree, award, rule, order or regulation judgment of any court or other Governmental Entity applicable to BuyerAuthority.

The Neither the execution, delivery and or performance by Buyer of this Agreement and the other Transaction Documents to be executed and delivered by Buyer and nor the consummation of the transactions contemplated hereby and therebyhereby, do not and nor compliance by Buyer with any of the provisions hereof, will not: (ia) violate or conflict with any provision of the charter documents Certificate of Incorporation or bylaws Bylaws of Buyer; , or (iib) violate in any material respect any provision or requirement of any domestic or foreignstatute, nationalrule, state or local lawregulation, statuteordinance, code, order, judgment, orderruling, writ, injunction, decree, award, rule, decree or regulation of any Governmental Entity applicable to award binding upon Buyer.
