The consummation of the Merger in accordance with the terms, conditions, and provisions of this Agreement will not conflict with, or result, with the passing of time, or otherwise, in a breach of, any term, condition, or provision of any judgment, order, injunction, decree, writ, or ruling of any court, tribunal, or regulatory or self- regulatory authority, either domestic or foreign, to which either the Company or Company Sub is subject.
