No Conflict with Law or Agreements. The execution and delivery of this Agreement and the performance by the Purchaser of its obligations hereunder will not conflict with any provisions of any law or regulations to which the Purchaser is subject, or conflict with, result in a breach of or constitute a default under any of the terms, conditions or provisions of the certificate of incorporation or the by-laws of the Purchaser or any indenture, agreement or instrument to which the Purchaser is a party or by which it is bound, or any order or decree applicable to the Purchaser, or result in the creation or imposition of any lien on any of the Purchaser's assets or property, which would materially and adversely affect the ability of the Purchaser to carry out the transactions contemplated by this Agreement; the Purchaser has obtained any consent, approval, authorization or order of any court or governmental agency or body required for the execution, delivery and performance by the Purchaser of this Agreement;
