No Conflict With Other Documents. Except as disclosed on a list previously provided to Shore Bancshares, neither the execution and delivery of this Plan nor the carrying out of the transactions contemplated hereunder will result in any violation, termination, or default or acceleration of, or be in conflict with, any terms of any contract or other instrument to which Talbot Bancshares or any of the Talbot Subsidiaries is a party, or of any judgment, decree, or order applicable to Talbot Bancshares or any of the Talbot Subsidiaries, or result in the creation of any lien, charge, or encumbrance upon any of their properties or assets, except for any of the foregoing which would not have a material adverse effect upon the condition (financial or otherwise), assets, liabilities, business, or operations of Talbot Bancshares and the Talbot Subsidiaries, taken as a whole.
