No conflict with other obligations. No member of the Group is in breach of or in default of: (a) any Material Contract; or (b) any other contract or agreement which may result in or has resulted in a Material Adverse Change. Neither this Agreement nor any transactions contemplated by it will constitute or give rise to a breach of or default under: (i) any Material Contract; or (ii) any other agreement or arrangement to which any member of the Group is a party or give rise to any rights of any third party in respect of any assets of the Group.
