No Conflicting Obligation. Executive represents that its performance of all the terms of this Agreement and as an employee or consultant of Company does not and will not breach any agreement between it and any other employer, person or entity. Executive has not entered into, and it agrees it will not enter into, any agreement either written or oral in conflict herewith. Executive shall, during the term of its employment or engagement, diligently promote the interests of Company. Executive shall serve Company to the best of its ability, faithfully, honestly, diligently and efficiently.

Executive shall serve Company Omnimmune to the best of its ability, faithfully, honestly, diligently and efficiently.

Executive represents that its his performance of all the terms of this Proprietary Information and Inventions Agreement and as an employee or consultant of the Company does not and will not breach any agreement between it and any other employer, person to keep information acquired by him in confidence or entityin trust prior to his employment by the Company. Executive has not entered into, and it agrees it that he will not enter into, any agreement either written or oral in conflict herewith. Executive shall, during the term of its employment or engagement, diligently promote the interests of Company. Executive shall serve Company to the best of its ability, faithfully, honestly, diligently and efficiently.

Executive represents that its Executive’s performance of all the terms of this Agreement and as an employee or consultant of the Company does not and will not breach any (a) agreement between it and to keep in confidence information acquired by Executive in confidence or in trust prior to Executive’s employment by the Company, or (b) agreement with or obligation to any third party to which he is otherwise bound, or faculty or staff appointment with a university, government or other employer, person or entityresearch institution).
