Common use of No Conflicts; Compliance With Laws and Regulations Clause in Contracts

No Conflicts; Compliance With Laws and Regulations. (a) GoEnergy has complied with all applicable statutes and regulations of any federal, state or other applicable governmental entity or agency thereof. GoEnergy is not a party to or bound by, and the properties of GoEnergy are not subject to, any judgment, order, writ, injunction, decree or award; (b) The execution of this Agreement and the consummation of the transactions contemplated by this Agreement will not result in the breach of any term or provision of, constitute a default under, or terminate, accelerate or modify, the terms of any indenture, mortgage, deed of trust or other material agreement or instrument to which GoEnergy is a party or to which it or any of its assets, properties or operations are subject; and (c) The execution, delivery and performance of this Agreement by GoEnergy will not: (i) require the consent of any third party or governmental entity under any laws; (ii) violate any laws applicable to GoEnergy or its capital stock; or (iii) violate or breach any contractual obligation to which GoEnergy is a party or its capital stock bound.

GoEnergy Wired is not a party to or bound by, and the properties of GoEnergy Wired are not subject to, any judgment, order, writ, injunction, decree or award; (b) The execution of this Agreement and the consummation of the transactions contemplated by this Agreement will not result in the breach of any term or provision of, constitute a default under, or terminate, accelerate or modify, the terms of any indenture, mortgage, deed of trust or other material agreement or instrument to which GoEnergy Wired is a party or to which it or any of its assets, properties or operations are subject; and (c) The execution, delivery and performance of this Agreement by GoEnergy Wired will not: (i) require the consent of any third party or governmental entity under any laws; (ii) violate any laws applicable to GoEnergy Wired or its capital stock; or (iii) violate or breach any contractual obligation to which GoEnergy Wired is a party or its capital stock bound.

(b) The execution of this Agreement and the consummation of the transactions contemplated by this Agreement will not result in the breach of any term or provision of, constitute a default under, or terminate, accelerate or modify, the terms of any indenture, mortgage, deed of trust or other material agreement or instrument to which GoEnergy Xxxxxx is a party or to which it or any of its assets, properties or operations are subject; and. (c) The execution, delivery and performance of this Agreement by GoEnergy Xxxxxx will not: (i) require the consent of any third party or governmental entity under any laws; (ii) violate any laws applicable to GoEnergy Xxxxxx or its capital stock; or (iii) violate or breach any contractual obligation to which GoEnergy Xxxxxx is a party or its capital stock bound.

GoEnergy Hardwired is not a party to or bound by, and the properties of GoEnergy Hardwired are not subject to, any judgment, order, writ, injunction, decree or award; (b) The execution of this Agreement and the consummation of the transactions contemplated by this Agreement will not result in the breach of any term or provision of, constitute a default under, or terminate, accelerate or modify, the terms of any indenture, mortgage, deed of trust or other material agreement or instrument to which GoEnergy Hardwired is a party or to which it or any of its assets, properties or operations are subject; and (c) The execution, delivery and performance of this Agreement by GoEnergy Hardwired will not: (i) require the consent of any third party or governmental entity under any laws; (ii) violate any laws applicable to GoEnergy Hardwired or its capital stock; or (iii) violate or breach any contractual obligation to which GoEnergy Hardwired is a party or its capital stock bound.
