Common use of No Conflicts; No Consents Clause in Contracts

No Conflicts; No Consents. The execution and delivery of this Agreement by Hxxxxx, the performance by Holder of its obligations hereunder and the consummation by Holder of the transactions contemplated hereby do not and will not (a) materially violate or materially conflict with any Applicable Law applicable to Holder or any of Holder’s assets or properties or (b) violate or conflict with in any material respect, result in any material breach of, or constitute a material default (or event which with the giving of notice or lapse of time, or both, would become a material default) under, any agreement to which Holder is a party or by which any of its assets or properties is bound. No consent, approval, authorization, license, order or permit of, or declaration, filing or registration with, or notification to, any Governmental Authority or any other Person is required to be made or obtained by Holder in connection with the execution, delivery and performance of this Agreement and the consummation of the transactions contemplated hereby.
