No Conflicts; Other Registration Rights. (a) The Company shall not enter into any agreement, contract or understanding, written or unwritten, inconsistent with any provision of this Agreement. (b) The Company shall not grant any right of registration under the Securities Act relating to any of its securities to any Person unless the Holders shall be entitled to have included in any such registration the Registrable Securities owned by them in accordance with Section 3 of this --------- Agreement.
