Common use of No Conflicts with Sanctions Law Clause in Contracts

No Conflicts with Sanctions Law. Neither the Company nor any of its subsidiaries, directors, officers or employees, nor, to the knowledge of the Company, any agent, representative or affiliate or person acting on behalf of the Company or any of its subsidiaries is an individual or entity (“Person”) currently the subject or target of any sanctions administered or enforced by the United States Government, including, without limitation, the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), the United Nations Security Council (“UNSC”), the European Union, Her Majesty’s Treasury (“HMT”), or other relevant sanctions authority (collectively, “Sanctions”), nor is the Company or any of its Subsidiaries located, organized or resident in a country or territory that is the subject of Sanctions, including, without limitation, Cuba, Iran, North Korea, Sudan, Syria and the Crimean region of the Ukraine (each, a “Sanctioned Country”). For the past 5 years, the Company and its subsidiaries (at such times that they have been subsidiaries of the Company) have not knowingly engaged in and are not now knowingly engaged in any dealings or transactions with any person that at the time of the dealing or transaction is or was the subject or the target of Sanctions or with any Sanctioned Country while such country was a Sanctioned Country.

For the past 5 years, the Company and its subsidiaries (at such times that they have been subsidiaries of the Company) have not knowingly engaged in and are not now knowingly engaged in any dealings or transactions with any person that at the time of the dealing or transaction is or was the subject or the target of Sanctions or with any Sanctioned Country while such country was a Sanctioned Country.

For the past 5 five years, the Company and its subsidiaries (at such times that they have been subsidiaries of the Company) have not knowingly engaged in and are not now knowingly engaged in any dealings or transactions with any person that at the time of the dealing or transaction is or was the subject or the target of Sanctions or with any Sanctioned Country while such country was a (“Sanctioned CountryCountry Activities”) that would, individually or in the aggregate, be material to the offering and sale of the Shares. The Company and its subsidiaries are not now knowingly engaged in any Sanctioned Country Activities.
