Common use of No Consent or Approval Clause in Contracts

No Consent or Approval. Except as already obtained or filed, as the case may be, no consent or approval or other authorization of, or exemption by, or declaration or filing with, any Person and no waiver of any right by any Person is required to authorize or permit, or is otherwise required as a condition to the Guarantor's execution and delivery of this Guaranty or any of the other Lease Documents to which it is a party and the performance of its obligations thereunder, or as a condition to the validity (assuming the due authorization, execution and delivery by the Lessor of the Lease and the other Lease Documents to which it is a party) or enforceability of any of the same and/or the first priority of any Liens granted thereunder;
