No Consent or Approval. Neither the execution and delivery by Seller of this Agreement, nor the consummation of the transactions contemplated by this Agreement, requires the consent, authorization or approval of, or the giving of notice by Seller to, or the registration by Seller with, or the taking of any other action by Seller in respect of, any federal, state or local governmental authority or any third party, except as contemplated by Article VI of this Agreement.
