Neither the execution nor the delivery by the Seller of this Agreement, nor the performance of the Seller's obligations hereunder, require the consent or approval of, the giving of notice to, the registration with, or the taking of any other action with respect to, any governmental authority or agency under any existing federal or state law governing the Seller, except such as have been previously obtained, made or taken.
