No Contravention or Conflict. THE EXECUTIVE REPRESENTS AND WARRANTS TO THE COMPANY THAT THIS AGREEMENT AND CARRYING OUT THE EXECUTIVE’S DUTIES AND RESPONSIBILITIES IN CONNECTION WITH THE EXECUTIVE’S EMPLOYMENT WITH THE COMPANY UNDER THIS AGREEMENT, WILL NOT CONTRAVENE OR CONFLICT WITH ANY OBLIGATIONS THE EXECUTIVE MAY HAVE TO ANY PAST EMPLOYER OR OTHER PERSON, FIRM OR CORPORATION FOR OR WITH WHOM THE EXECUTIVE HAS PREVIOUSLY PROVIDED ANY SERVICES OR BEEN ENGAGED (“Prior Entities”). The Executive agrees that he will not do anything in connection with his employment with the Company that would contravene or conflict with any such obligations. The Company is not employing the Executive to obtain the confidential information or business opportunities of any Prior Entities and the Executive is hereby requested and directed by the Company to disclose to the Company and to comply with any obligations that the Executive may have to any Prior Entities.
