Common use of No Contravention Clause in Contracts

No Contravention. Neither the execution and delivery of this Agreement nor the consummation of the transactions effected hereby will (i) violate or conflict with any provision of Buyer’s Certificate of Incorporation or By-Laws, (ii) (with or without the giving of notice or the lapse of time or both) violate, or result in a breach of, or constitute a default under, or conflict with, or give rise to a right of termination of, or accelerate the performance required by, any of the terms of any agreement, lease, mortgage, indenture or other instrument to which Buyer is a party or by which it is bound, or (iii) violate or conflict with any judgment, decree, order or award of any court, governmental body or arbitrator, or any law, rule or regulation applicable to Buyer.

No Contravention. Neither the execution and execution, delivery or performance by the Purchaser of this Agreement or of any agreement or instrument required to be executed and delivered by the Purchaser in connection herewith, nor the consummation of the transactions effected contemplated hereby or thereby, will (i) violate any provisions of the articles of organization, the Operating Agreement or conflict with any provision the other governing documents of Buyer’s Certificate of Incorporation or By-Lawsthe Purchaser, (ii) (with require the approval, consent or without the giving of notice or the lapse of time or both) violate, or result in a breach of, or constitute a default under, or conflict with, or give rise to a right of termination of, or accelerate the performance required by, any of the terms authorization of any agreementfederal, lease, mortgage, indenture state or other instrument to which Buyer is a party or by which it is boundlocal governmental authority, or (iii) violate or conflict with any judgment, decree, order or award result in the breach of any court, governmental body term or arbitrator, provision of any contract or any law, rule agreement to which the Purchaser is a party or regulation applicable to Buyerby which the Purchaser is bound.

Neither With respect to Buyer, neither the execution and delivery of this Agreement nor the consummation of the transactions effected hereby will (i) violate or conflict with any provision of Buyer’s Certificate of Incorporation or By-Lawsits Organizational Documents, (ii) (with or without the giving of notice or the lapse of time or both) violate, or result in a breach of, or constitute a default under, or conflict with, or give rise to a right of termination of, or accelerate the performance required by, any of the terms of any agreement, lease, mortgage, indenture or other instrument to which Buyer it is a party or by which it is bound, or (iii) violate or conflict with any judgment, decree, order Order or award of any court, governmental body Governmental Body or arbitrator, or any law, rule or regulation applicable to Buyerit.
