No Conversion until Sufficient Authorized and Unissued Shares Available. Notwithstanding anything herein to the contrary, this Note shall not be convertible into shares of Common Stock of the Company until such time as the Company’s authorized and unissued shares of Common Stock are at a number sufficient to permit the conversion of this Note and the conversion or exercise, as applicable, of all other outstanding securities of the Company convertible into or exercisable for shares of Common Stock of the Company.
