Common use of No Deemed Residency Clause in Contracts

No Deemed Residency. The Underwriters will not be treated as resident, domiciled or carrying on or transacting business or subject to taxation in the Cayman Islands or in violation of any law thereof solely by reason of the negotiation, preparation, execution or delivery of this Agreement or the entering into of, the exercise of their rights, the performance of their obligations under or the enforcement of this Agreement.
