The statute of limitations for the assessment of any federal income Taxes has expired for all income Tax Returns of UNC and of each of UNC Subsidiaries or such income Tax Returns have been examined by the Internal Revenue Service for all periods. No deficiency for any income Taxes has been proposed, asserted or assessed against UNC or any of UNC Subsidiaries which has not been resolved and paid in full. There are no deficiencies for state income Taxes which individually, or in the aggregate, would have a UNC Material Adverse Effect.
