No Discretion of Custodian. (1) Except when the Custodian is specifically directed under the Pooling and Servicing Agreement or this Agreement, if the Pooling and Servicing Agreement or this Agreement contemplates that an action or decision will be made or taken by the Custodian, for or on behalf of the Series 1997-1 Co-Owner, such action or decision shall only be taken upon a Co- Owner Direction of the Series 1997-1 Co-Owner.
