Common use of No Disposal of Property Clause in Contracts

No Disposal of Property. Except as expressly permitted in this Agreement, Seller will cause the Company to refrain from (a) disposing of any assets of the Company and from permitting any of such assets to be subjected to any Liens, except for dispositions of assets in the ordinary course of business in the ordinary course of the business and consistent with past practice and except for non- consensual Liens imposed by operation of law, (b) entering into any contracts obligating the Company to administer or manage the operations of any other person and (c) entering into any contracts permitting any person other than the Company to administer or manage the operations of the Company.

No Disposal of Property. Except as otherwise expressly permitted in by this Agreement, Seller will cause the Company to refrain from (a) disposing of any assets or properties of the Company and from permitting any of such assets or properties to be subjected to any Liensliens or encumbrances, except for dispositions of assets in the ordinary course of business in the ordinary course of the business and consistent with past practice and except for non- consensual Liens imposed by operation of lawPermitted Liens, (b) entering into selling any contracts obligating the Company material part of its insurance Contracts in force, operations, or business to administer or manage the operations of any other person and third party, (c) entering into any contracts Contracts obligating the Company to administer the operations of any person or entity other than the Company, and (d) entering into any Contracts permitting any person or entity other than the Company to administer or manage the operations of the Company.
