No Disposal of Property. Except as expressly permitted in this Agreement, Seller will cause the Company to refrain from (a) disposing of any assets of the Company (including but not limited to any real property) and from permitting any of such assets to be subjected to any Liens, except for dispositions of assets in the ordinary course of business and consistent with past practice and except for non-consensual Liens imposed by operation of law, (b) entering into any contracts obligating the Company to administer or manage the operations of any other person and (c) entering 27 36 into any contracts permitting any person other than the Company to administer or manage the operations of the Company.
