Common use of No Distribution by Sanofi Clause in Contracts

No Distribution by Sanofi. The Parties recognize that Sanofi may from time to time receive orders for the Product directly from Third Parties. In such event, Sanofi shall promptly advise the customer that Sanofi is not authorized to accept orders for the Product and it shall use its Commercially Reasonable Efforts to provide the customer with adequate information to complete the customer’s order directly with Relypsa, its Affiliates or agents.
